Board of directors meeting agenda

Board meeting agenda template

A board meeting agenda runs in this order: call to order and quorum, conflict of interest declarations, a consent agenda for routine approvals, the CEO or executive director report, the financial report, items for decision and discussion, and executive session. Each item gets an owner, a time and a label (for decision, for discussion or for information), and decision items show the exact motion the board will be asked to pass. Send it with the board packet so directors read the reports before the meeting instead of during it.

Looking for the consent agenda format, or how to record one in the minutes? The consent agenda guide has the chair's script, three sets of real minutes and an entry you can copy.

Questions people ask

What is a consent agenda for a board meeting?
A consent agenda groups routine items, such as the last meeting's minutes and reports accepted as written, so the board approves them all in a single vote without discussion. Any director can ask to remove an item before the vote, and that item is then discussed and voted on separately. It frees meeting time for the questions that need the board's judgment.
How far ahead should the board agenda and packet go out?
Your bylaws may set a minimum notice period for board meetings, so start there. Beyond that, most boards send the agenda and packet 5 to 7 days ahead, which gives directors a weekend to read. Bylaws and state law decide what notice is required, and this page is not legal advice.
Who sets the board meeting agenda?
Usually the board chair and the CEO or executive director, with the secretary assembling the packet. Any director can ask for an item to be added. A good chair asks for requests a week or two before the packet goes out, so nothing arrives as a surprise on the day.
What should a small business board meeting agenda cover?
Keep it to what the outside directors can actually help with: a short owner or CEO update, the financials and cash position, one or two decisions with the motion written out, and a few minutes for outside directors alone. Quarterly meetings of 60 to 90 minutes are typical for a small board.
